Noel Tata, Chairman of Tata Trusts, has formally requested Tata Sons Company Secretary Suprakash Mukhopadhyay to include two critical proposals on the agenda for the upcoming board meeting scheduled for November 26. The move follows an unresolved meeting with Tata Sons Chairman Natarajan Chandrasekaran aimed at settling ongoing board impasses. The first proposal urges the board to discuss and vote on a strategic reorganisation of Tata Sons to avoid a mandatory public listing mandated by the Reserve Bank of India (RBI). Building on a September 28 communication from Tata Trusts—which holds a controlling 66 per cent stake—Noel Tata proposed merging Tata Electronics Systems Solutions Private Limited and Tata Consulting Engineers into Tata Sons Private Ltd. This restructuring aims to restore Tata Sons to an operational company model with independent business revenues, potentially realigning it with RBI’s earlier non-banking, non-financial classification. The second proposal addresses the debt-laden Shapoorji Pallonji (SP) Group, which owns an 18 per cent stake in Tata Sons. Noel Tata has proposed a selective capital reduction scheme to buy out SP Group shares worth ₹25,000 crore in two tranches over an eighteen-month period, cancelling the corresponding number of shares to provide required liquidity. Whether these proposals will be formally included in the November 26 agenda now rests on board approval.
